These Terms of Service (“Terms”) govern your access to and use of the Cold Konnect mobile applications, website, and related services (collectively, the “Services”), operated by Cold Konnect Technologies Private Limited (“Cold Konnect”). By accessing or using the Services you agree to these Terms.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872, to use the Services. If you use the Services on behalf of a business, you represent that you are authorised to bind that business.
2. The platform
Cold Konnect is a discovery and connection platform. We help users discover cold storages, refrigerated trucks, and marketplace vendors operated by independent third parties (“Partners”). We are not a party to, do not facilitate payment for, and bear no responsibility for any transaction you negotiate or enter into with a Partner.
3. Accounts
- Sign-in is via OTP sent to your verified mobile number. Keep your device secure.
- You are responsible for all activity under your account.
- We may suspend or terminate accounts that violate these Terms or applicable law.
4. Subscriptions
Cold Konnect charges subscription fees as set out on our Pricing page. Subscriptions are billed annually via Razorpay. Prices are exclusive of GST and other applicable taxes. For users, the first 90 days from registration are free; subscription renews automatically on day 91 unless cancelled. Partner subscriptions are charged per-listing (per cold storage, per truck, or per business as applicable).
5. Partner obligations
- Provide accurate KYC documents (Aadhaar, PAN, FSSAI / GST, ownership / lease).
- Keep listing details (capacity, temperature, pricing) accurate and up to date.
- Honour the prices and availability advertised, or update them promptly.
- Operate IoT hardware as instructed and do not tamper with sensors.
- Treat user contacts respectfully and respond within reasonable time.
6. User obligations
- Use the Services lawfully and for legitimate business / personal purposes.
- Do not impersonate any person or business.
- Do not post community content that is obscene, defamatory, hateful, fraudulent, or that infringes third-party rights.
- Do not scrape, crawl, reverse-engineer, or disrupt the Services.
7. Content & licence
You retain ownership of content you post (photos, listings, comments). You grant Cold Konnect a non-exclusive, royalty-free, worldwide, sub-licensable licence to host, display, distribute and adapt that content solely to operate, market and improve the Services.
8. IoT data & hardware
Partner IoT hardware remains the property of the device vendor and/or Partner per the relevant device contract. Telemetry collected through the Services is owned by the originating Partner; Cold Konnect retains a perpetual licence to use anonymised aggregates for product improvement and benchmarking.
9. Intellectual property
The Cold Konnect name, logo, software, and design system are protected by Indian copyright, trademark, and trade-dress law. Nothing in these Terms transfers ownership of any Cold Konnect IP to you.
10. Disclaimers
The Services are provided on an “as is” and “as available” basis. We do not warrant that:
- The Services will be uninterrupted or error-free.
- Information from third parties (Agmarknet, IMD, Plant.id) is accurate.
- Cost estimates (e.g. the Truck Cost Estimator) match final negotiated rates.
- Listings are free of error or that Partners will perform as advertised.
11. Limitation of liability
To the maximum extent permitted by law, Cold Konnect's aggregate liability for any claim arising out of or relating to the Services is limited to the amount you paid us in subscription fees during the 12 months preceding the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages.
12. Indemnity
You agree to indemnify and hold Cold Konnect harmless from any claim arising out of your use of the Services, your content, or your violation of these Terms or any law.
13. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your account for breach. Upon termination, sections 7, 8, 9, 11, 12, 14 and 15 survive.
14. Governing law & dispute resolution
These Terms are governed by the laws of India. Any dispute will be first attempted to be resolved by mediation in good faith. If unresolved within 30 days, disputes are subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana.
15. Changes
We may update these Terms from time to time. Material changes will be notified 14 days in advance via the app and email. Continued use after the effective date constitutes acceptance.
